PayPalWhile I was off running around the woods for the weekend, Netflix announced their intention to acquire Warner Bros. but now Paramount want to fight.
In the original press release from Netflix they said it will be for a total value of around $82.7 billion at $27.75 per WBD share. This deal would include its film and television studios, HBO Max and HBO, and their game studios too. What it wouldn't include is WBD’s Global Networks division, which was due to be spun off into its own thing. The deal is not actually done, as it has to go through all the usual regulator approvals.
Another wonderful bit of consolidation isn't it? Well, perhaps, but not if Paramount get their way. As they've launched a rival bid for the entirety of Warner Bros. including the Global Networks segment. They're offering more too at $30.00 per share in cash which they said is "$18 billion more in cash than the Netflix consideration".
Interestingly, Paramount say they actually submitted six proposal over the course of 12 weeks but "WBD never engaged meaningfully" and so Paramount has "taken its offer directly to WBD shareholders and its Board of Directors to ensure they have the opportunity to pursue this clearly superior alternative".
Time to get your popcorn out.

Oddly enough, Netflix has already sent out emails to its consumers confirming the WBD acquisition.
It is sad to see WBD driven to the ground by its visionless and soulless leadership.
And I am not supposed to root for anyone in this fight, they are all large corporations that prioritize dollar over quality. But learning recently who is backing Paramount made me hope it's not them who win.

Selfishly, I have Netflix (albeit debating keeping it much longer after I ditched Spotify a couple of months ago), and won't ever take Paramount, so hopefully this hostile bid fails completely. Also, as others have noted, this is backed by Jared Kushner apparently - Trump's step-son, with additional backing from the middle east.
According to the FT, Paramount are on the hook for only (!) $12bn, while $24bn is secured through several middle eastern sovereign wealth funds (who are still separately diversifying from oil through initiatives like PIF's investment in EA e-gaming), and the remainder is a debt through a combined commitment from the Bank of America, Citigroup, and Apollo.
According to the FT, Paramount are on the hook for only (!) $12bn, while $24bn is secured through several middle eastern sovereign wealth funds (who are still separately diversifying from oil through initiatives like PIF's investment in EA e-gaming), and the remainder is a debt through a combined commitment from the Bank of America, Citigroup, and Apollo.

The ultimate crime is how Zazlov (sp?) gets to run one of the biggest, oldest, most storied media business straight into the ground with pure idiocy and incompetence, then get to cash out a GIGANTIC check at the end as a reward.
He should get exactly $0.00 and all of whatever was supposed to go to him should instead go to all the employees of wb who've been royally fucked over throughout the past years with him in charge.

So, not that long ago Sarandos openly complained the theatrical model is outdated. Then, around the time of the WB bid he softened and started saying it'll be preserved at WB. Right after the confirmation he began threatening that changes to the release model are coming... and after this recent Paramount bid he's back to keeping the theatrical model at WB, because it works.
Needless to say, consolidation is never good, and Netflix isn't a good fit for WB. Possibly the worst there is as they clearly don't get movies, aren't interested in movies - just content and slop to sell subscriptions - and they will run what's left of the studio into the ground.
What's even more concerning to me are the archives and the potential physical releases.
Paramount is perhaps marginally better from this standpoint.
